1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AIQ Labs Limited ("Company," "we," "us," or "our") governing your access to and use of the Answrr platform, including our website, applications, AI phone agents, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Answrr provides an AI-powered phone receptionist and call management platform that enables businesses to:

• Receive and manage inbound phone calls through AI agents
• Automatically answer calls, capture leads, and book appointments
• Generate call transcripts and summaries
• Integrate with calendars, CRMs, and other business tools
• Customize AI agent behavior, voice, and responses
• Access call analytics and reporting

3. Account Registration

3.1 Eligibility

• You must be at least 18 years old to use the Service
• You must have the authority to bind your organization to these Terms
• You must provide accurate and complete registration information
• The Service is intended for business use only

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access
• You are responsible for all activities that occur under your account
• We recommend enabling two-factor authentication

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or any other reason at our sole discretion.

4. Subscription and Payment

4.1 Pricing and Plans

• Subscription plans and pricing are available on our website
• Prices are subject to change with 30 days notice
• Usage-based charges (minutes, phone numbers) are billed according to current rates
• All prices are in USD unless otherwise specified

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Usage charges are billed monthly in arrears
• Payment is due upon receipt of invoice
• We accept major credit cards and other payment methods as displayed

4.3 Free Trial

• Free trials may be offered at our discretion
• Trial limitations and duration are specified at signup
• You may be required to provide payment information for trial access
• Trials automatically convert to paid subscriptions unless cancelled

4.4 Refunds

• Subscription fees are non-refundable except as required by law
• Unused minutes or credits do not roll over and are non-refundable
• Refund requests for exceptional circumstances may be considered on a case-by-case basis

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful business purposes in accordance with these Terms. You agree to use the Service in compliance with all applicable laws and regulations.

5.2 Prohibited Activities

You agree NOT to use the Service to:

• Make or receive calls for illegal purposes
• Engage in telemarketing, robocalling, or spam without proper consent
• Impersonate individuals or organizations
• Harass, threaten, or defraud callers
• Collect sensitive information (SSN, credit cards, health data) without proper safeguards
• Violate telecommunications regulations (TCPA, CRTC, etc.)
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any systems
• Reverse engineer, decompile, or disassemble the Service
• Resell or redistribute the Service without authorization
• Use the Service for any purpose that violates these Terms

5.3 Call Recording Compliance

You are solely responsible for complying with all applicable call recording laws in your jurisdiction and the jurisdictions of your callers. This includes obtaining proper consent where required (one-party or two-party consent states/countries).

6. AI Disclosure and Limitations

6.1 AI Nature of Service

You acknowledge that Answrr uses artificial intelligence to handle phone calls. AI responses may not always be accurate, appropriate, or complete. You are responsible for:

• Configuring your AI agent appropriately for your business
• Reviewing and verifying information captured by the AI
• Providing appropriate disclosures to callers about AI use
• Monitoring AI performance and making necessary adjustments

6.2 No Guarantee of Accuracy

We do not guarantee that AI responses will be error-free, complete, or suitable for any particular purpose. The AI may misunderstand callers, provide incorrect information, or fail to capture important details.

6.3 Human Oversight

You should maintain appropriate human oversight of AI interactions and have processes in place to handle situations the AI cannot adequately address.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, and other content, is owned by AIQ Labs Limited and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.

7.2 Your Content

You retain ownership of content you upload to the Service (prompts, knowledge base documents, etc.). You grant us a license to use this content solely to provide the Service to you.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

8. Third-Party Services

The Service integrates with third-party services (calendars, CRMs, telephony providers, etc.). Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for third-party services.

9. Service Availability

9.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

9.2 Modifications

We may modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice for material changes that negatively affect your use.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIQ LABS LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION.

10.3 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless AIQ Labs Limited and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your content or data uploaded to the Service
• Any claims by third parties related to your use of the Service

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Province of Nova Scotia, Canada, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be resolved in the courts of Nova Scotia, Canada. You consent to the exclusive jurisdiction of these courts.

12.3 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@answrr.ai to attempt informal resolution of any dispute.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AIQ Labs Limited regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or notice in the Service. Continued use after changes become effective constitutes acceptance.
